Welcome to use Wah!Drama, which is provided by Sunwah Dream Atelier Limited (hereafter referred to as "Wah! Drama," "we," "us" or "our") and become a part of our interactive community!

Thank you for downloading our application(s) ("App") or visiting the related website, or other form or versions derived therefrom (collectively, "Platform") owned or controlled by Wah! Drama, and any and other associated products, content, services and features we make available to you through the Platform, or via third-party distribution services that are not owned or controlled by us ("Third-Party Services") (together, the "Service"). We hope you love our product and we welcome any feedback you may have.

By accessing or using our application, website, or related Services, you agree to be bound by these Terms of Service, our Privacy Policy, and any additional terms we may publish (together, the "Agreement").

If you do not agree, you must not use the Service.

The Service is licensed, not sold. It is provided on an "as is" basis and subject to limitations of liability as set out in this Agreement.

Certain features may involve payments, including virtual credits ("Coins"). All purchases are subject to the payment and refund terms in Section 2.

(a) Binding Contract. This Agreement governs your use of the Service, including any updates or additional features made available to you.

(b) Changes to this Agreement. We may update this Agreement from time to time. Continued use of the Service after changes take effect constitutes your acceptance.

(c) Eligibility. You must be at least 18 years old, or the legal age of majority in your jurisdiction, to use the Service. If you are under that age, you may only use the Service with the consent of a parent or legal guardian.

(d) Privacy and Data Policies. Your use of the Service is subject to our Privacy Policy and Cookies and Tracking Policy (collectively, the "Data Policies"), which are incorporated into and form part of this Agreement. By using the Service, you acknowledge that you have read and understood the Data Policies.

(e) Jurisdictional Issues. The Service is controlled and operated by Wah! Drama from its offices in Hong Kong SAR, China. Those who choose to access or use the Service are responsible for compliance with the laws of the place where the Service operates and local laws, if and to the extent local laws are applicable. Access to the Service from jurisdictions where the contents or practices of the Service are illegal, unauthorized or penalized is strictly prohibited.

(a) Description. You may access television shows, movies, videos, text, graphics, photos, or other audio-visual content (collectively, the "Wah! Drama Content") which is provided by us and third-parties ("Providers"), and enjoy various available on the Service.

(b) Paid Access, Coins and Content Access

(1) Coins System. The Service operates on a virtual points system ("Coins"). Users may only access the Service through the purchase of Coins, and may purchase Coins through the Platform or third-party distribution services. Coins shall be used solely within the Service to access designated Content and features.

(2) Content Access via Coins. The number of Coins required to access Content may vary and is determined by Wah! Drama at its discretion. Subject to other provisions of this Agreement, Wah! Drama may provide you with limited access to the Service free of charge.

(3) Limited License. Upon redemption of Coins for Content, you are granted a limited, non-transferable, non-exclusive right to stream such Content for personal, non-commercial use within the Service. No ownership rights are transferred.

(4) Dynamic Pricing. We may modify Coin pricing, Content access requirements, and available packages at any time, to the extent permitted by law.

(5) No Refunds. All Coin purchases and redemptions are final and non-refundable, except where required by applicable law or where Wah! Drama determines, at its sole discretion, that a technical error has prevented access to purchased Content. Further details are set out in paragraph 2(d).

(6) Technical Failure. Where Content cannot be accessed due to a verified technical fault attributable to Wah! Drama, Coins used for such access may be re-credited at Wah! Drama's discretion.

(7) No Monetary Value. Coins have no cash value, are not transferable, and cannot be redeemed for money or any other value outside the Service.

(8) Expiry and Forfeiture. Wah! Drama reserves the right to impose expiry periods on Coins and to forfeit unused Coins after a period of account inactivity or as otherwise specified within the Service.

(9) Fraud and Abuse. Wah! Drama reserves the right to suspend or terminate Accounts and void Coins where fraudulent, abusive, or unlawful activity is suspected, including chargebacks or payment reversals.

(c) Portable Device Services. The Service may be accessible via a mobile phone, tablet or other wireless device (collectively, "Portable Device Services"). Your device carrier's normal messaging, data and other rates and fees will apply to your use of the Portable Device Services. In addition, downloading, installing or using certain Portable Device Services may be prohibited or restricted by your device carrier, and not all Portable Device Services may work with all carriers or devices. Therefore, you are solely responsible for checking with your device carrier to determine if the Portable Device Services are available for your device(s), what restrictions, if any, may be applicable to your use of the Portable Device Services, and how much they will cost you. Nevertheless, all use of the App and the related Portable Device Services must be in accordance with this Agreement.

(d) Refund & Cancellation Policy. This Section governs all payments and overrides any inconsistent provision in this Agreement:

(1) General Rule. All purchases are final and non-refundable, except where required by applicable law.

(2) Coins. Coins are non-refundable. Redemption of Coins for Content is final.

(3) Technical Issues. If access fails due to a technical issue attributable to us, we may re-credit Coins.

(4) Subscriptions (if offered). Subscriptions renew automatically unless cancelled before the next billing cycle. No refunds are provided for partial periods.

(5) Third-Party Platforms. Purchases via third-party platforms are subject to their policies.

(6) Chargebacks. We may suspend access or terminate Accounts where payments are reversed.

(e) Content Availability and Territorial Restrictions.

(1) Content may be added, removed, or restricted at any time. Availability may vary by region and is subject to licensing and legal requirements.

(2) You must not attempt to bypass geographic restrictions.

(3) We do not guarantee uninterrupted or error-free access.

(a) Account. You may be required to create an Account to access certain features.

(b) Responsibility. You are responsible for all activity under your Account and must keep your credentials secure.

(c) Accuracy. You must provide accurate and up-to-date information.

(d) Suspension. We may suspend or terminate Accounts that violate this Agreement or applicable law.

(e) Personal Use. Accounts are for personal use only and may not be shared beyond reasonable household use.

All content and materials on the Service are owned by Wah! Drama or its licensors and are protected by intellectual property laws.

We grant you a limited, non-transferable, non-exclusive license to access and view Content only for personal, non-commercial use within the Service.

You may not copy, distribute, modify, or exploit any Content except as expressly permitted.

(a) You may submit content where permitted ("User Content").

(b) You grant Wah! Drama a worldwide, non-exclusive, royalty-free license to use, reproduce, and display your User Content in connection with the Service.

(c) You represent that you have all necessary rights to submit such content.

(d) We may remove User Content at any time without notice.

(e) To the extent permitted by law, you waive any moral rights in your User Content.

(a) In addition to any other restrictions set forth in this Agreement, and without limiting those restrictions, when using the Service, you agree not to (and not to attempt to):

• violate any applicable laws or this Agreement;
• access or interfere with the Service unlawfully;
• copy, distribute, modify, or exploit any Content without authorization;
• reverse engineer or attempt to extract source code;
• use the Service for commercial purposes without consent;
• upload harmful, illegal, or infringing content;
• impersonate others or provide false information.

(b) You understand and acknowledge that you may be exposed to User Content that is inaccurate, offensive, or objectionable, and you hereby waive any legal or equitable rights or remedies you have or may have against Wah! Drama with respect thereto, and, to the extent permitted by applicable law, agree to indemnify and hold harmless Wah! Drama, its owners, operators, affiliates, licensors, and licensees regarding all matters related to your use of the Service.

The Service may contain links to third-party platforms or services ("External Sites"). We do not control and are not responsible for the content, policies, or practices of any External Sites.

Your use of External Sites is at your own risk. Links are provided for convenience only and do not imply endorsement or association.

To the fullest extent permitted by law, we disclaim all liability arising from your use of External Sites or any dealings with third parties. You should review the applicable terms and policies of those services.

While we are continually working to develop and evaluate our own product ideas and features, we know we don't have all the answers. We therefore welcome your feedback, comments and suggestions (collectively, "Feedback"), but you are not required to provide any.

By submitting Feedback, you agree that:

(a) we are under no obligation to review, use, or return it;

(b) it is non-confidential; and

(c) you grant us a perpetual, irrevocable, worldwide, royalty-free, transferable license to use, modify, reproduce, distribute, and exploit the Feedback for any purpose, without restriction or compensation.

(a) Respect of Third Party Rights. Wah! Drama respects the intellectual property of others and takes the protection of intellectual property very seriously, and we ask our Users to do the same. Infringing activity will not be tolerated on or through the Service.

(b) Repeat Infringer Policy. We may remove or disable access to content that we believe infringes any intellectual property rights and may suspend or terminate repeat infringers.

(c) Reporting Infringement. If you believe content on the Service infringes your rights, please contact us with sufficient information to identify the work, the allegedly infringing material, and your contact details.

(d) Counter Notice. If your content is removed and you believe this was in error, you may contact us to request reinstatement.

(e) Liability. Any person who knowingly submits false claims may be liable for damages. We reserve the right to take appropriate legal action.

The following terms apply to the extent permitted by laws:

(a) Nature of Coins. Coins are virtual items for use within the Service only. They have no monetary value and do not constitute currency or property.

(b) Limited License. You are granted a limited, revocable, non-transferable license to use Coins within the Service.

(c) No Transfer or External Use. Coins may not be sold, transferred, assigned, traded, or otherwise exchanged outside the Service. Any attempt to do so is void and may result in suspension or termination of your Account.

(d) No Ownership Rights. You acknowledge that you do not own Coins and have no property or proprietary interest in them. Wah! Drama retains all rights, title, and interest in and to the Coins.

(e) Termination and Forfeiture. All Coins will be forfeited without compensation upon termination of your Account for any reason, including violation of this Agreement.

(f) Modification and Control. Wah! Drama reserves the right to manage, regulate, modify, or eliminate Coins at any time, to the extent permitted by applicable law.

(g) No Guarantee of Availability. We do not guarantee the continued availability of any Coins, features, or redemption options.

The following terms in this Section apply to the fullest extent permitted by law:

(a) Wah! Drama, its affiliates and their respective officers, directors, employees, agents, suppliers and licensors (collectively, the "Wah! Drama Parties") make no warranties or representations about the Service and any content available on the Service, including, but not limited to, the accuracy, accessibility, availability, reliability, completeness appropriateness, timeliness or reliability thereof. In other words, the Service is provided "as is" and "as available".

(b) The Wah! Drama Parties do not warrant that the Service will operate error free, or that the Service and any content thereon are free of computer viruses or similar contamination or destructive features. If your use of the Service or any content thereon results in the need for servicing or replacing property, material, equipment or data, Wah! Drama is not responsible for those costs.

(c) To the fullest extent permitted by law, we are not liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business.

(d) Our total liability to you will not exceed the greater of (i) the amount you paid us in the preceding 12 months, or (ii) HKD 1,000 (or local currency equivalent).

(e) You specifically acknowledge that Wah! Drama shall not be liable for any third-party content or conduct.

(f) Nothing in this Agreement shall limit or exclude any mandatory consumer rights under applicable law, including statutory refund rights where applicable.

To the fullest extent permitted by law, any dispute you have with any third party arising out of your use of the Service, including, by way of example and not limitation, any carrier, copyright owner or other User, is directly between you and such third party, and you irrevocably release the Wah! Drama Parties from any and all claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.

To the fullest extent permitted by law, you agree to defend, indemnify and hold harmless the Wah! Drama Parties from and against any claims, actions or demands, including, without limitation, reasonable legal and accounting fees, arising or resulting from (a) your breach of this Agreement; (b) your access to, use or misuse of Wah! Drama Content or the Service; or (c) your User Content. Wah! Drama will provide notice to you of any such claim, suit or proceeding. Wah! Drama reserves the right to assume the exclusive defence and control of any matter which is subject to indemnification under this Section if Wah! Drama believes that you are unwilling or incapable of defending Wah! Drama's interests. In such case, you agree to cooperate with any reasonable requests assisting Wah! Drama's defence of such matter at your expense.

(a) Term. As between you and Wah! Drama, the Term of this Agreement commences as of your first use of the Service and continues until the termination of this Agreement by either you or Wah! Drama.

(b) Termination. You may stop using the Service or close your Account at any time. We may suspend or terminate your Account or the Service at any time, including for breach or legal reasons.

(c) Upon termination, your right to use the Service ceases immediately. Coins will be forfeited as set out in Section 10.

(d) Sections 2(b)(5), 2(b)(6), 4-18 and all defined terms used therein and provisions which by their nature should survive will survive the termination of this Agreement indefinitely.

(a) This Agreement is governed by the laws of Hong Kong SAR, China, without respect to its conflict of law provisions.

(b) Any dispute arising out of or in connection with this Agreement shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under its Administered Arbitration Rules in force at the time. The seat of the arbitration shall be Hong Kong SAR, China. The language of the arbitration shall be English.

(c) To the extent permitted by law, disputes must be brought on an individual basis and not as part of any class or representative action.

(a) Except as expressly agreed by Wah! Drama and you, this Agreement constitutes the entire agreement between you and Wah! Drama with respect to the subject matter hereof, and supersedes all previous or contemporaneous agreements, whether written or oral, between the parties with respect to the subject matter herein.

(b) You agree that no joint venture, partnership, employment or agency relationship exists between you and Wah! Drama as a result of this Agreement or use of the Service.

(c) You further acknowledge that by Posting User Content, no confidential, fiduciary, contractually implied or other relationship is created between you and Wah! Drama other than pursuant to this Agreement.

(d) If any provision of this Agreement is found to be invalid by any court having competent jurisdiction, the invalidity of such provision will not affect the validity of the remaining provisions of this Agreement, which will remain in full force and effect.

(e) Failure of Wah! Drama to act on or enforce any provision of this Agreement will not be construed as a waiver of that provision or any other provision in this Agreement. No waiver will be effective against Wah! Drama unless made in writing, and no such waiver will be construed as a waiver in any other or subsequent instance.

(f) You may not assign this Agreement or any of the rights or licenses granted hereunder, directly or indirectly, without the prior express written consent of Wah! Drama. This means that in the event you dispose of any device on which you have installed the App, such as by sale or gift, you are responsible for deleting any the App from your device prior to such disposition. Wah! Drama may assign this Agreement, including all its rights hereunder, without restriction.

(g) The headings are provided merely for convenience and will not be given any legal import. This Agreement will inure to the benefit of our successors and assigns.

(h) If Wah! Drama provides a translation of this Agreement in a language rather than English, the translation is provided solely for convenience, and the English version will prevail.

(i) Consent to Electronic Communications. By using the Service, you may receive certain electronic communications from us as further described in the Privacy Policy. Please read the Privacy Policy to learn more about your choices regarding our electronic communications practices. You agree that any notices, agreements, disclosures or other communications that we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing.

This Agreement is between you and Wah! Drama only, and not with Apple. Apple is not responsible for the App or its content and has no obligation to provide maintenance or support.

If the App fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any). To the fullest extent permitted by law, Apple has no other warranty obligations.

Apple is not responsible for any claims relating to the App, including product liability, regulatory compliance, or intellectual property infringement.

You agree to comply with applicable third-party terms when using the App.

Apple and its affiliates are third-party beneficiaries of this Agreement and may enforce it against you.
